1.) Membership Contract

This Membership Agreement (the Agreement) is effective the day member is paid, by and between the Black Think Tank Community, hereinafter referred to as Community, accessed via blackthinktankcommunity.com with a business address of 1201 North Market St. Suite #111, Wilmington, DE 19801, and all current and future members of Black Think Tank Community hereinafter referred to as "Member". By accessing, browsing or using the blackthinktankcommunity.com website or by selecting I Accept during the membership registration, you represent that you have read, understand and agree to be bound by the terms and conditions of this Membership Agreement hereinafter referred to as Agreement.

 1. Nature of the Service

The Community is a social network facilitating the exchange of personal information between people. This socialization shall include reading the profile pages of other members and possibly

even contacting them. The Community provides to its members benefits such as but not exclusive to: Discounts, referrals to mentorship, newsletters, deep dive sessions, information about financial literacy, credit, health, investments, home ownership, tax savings, insurance options, estate planning, job post, college scholarships and business plans and marketing. The Community works like an online community of internet users.

 2. User Registration and Information

Member shall fill in the correct information requested in the User Registration form on the site.

Member shall be required to promptly update the User Information on the site. Member shall select a username and password during the User Registration process. Member shall be responsible for: a) all use of the Site made by the Members username and password, and b) maintaining the confidentiality of the Members username and password.

3. Content

The Content includes messages and other materials posted to forums, groups, or other locations on the Site by the members of the Community. Member of the Community is deemed to grant the Community the nonexclusive right to post, display, copy, and modify the Content in connection with the operation of the Site and the Communitys business. Further, the Member is deemed to grant the Community the nonexclusive right to post, display, copy, and sell the Content within the limitations set by the Member during the online publishing process. Member is also deemed to authorize the Community to disclose his/her personal data when the Member includes such personal data in the content.

4. Release

If the Member has a dispute with one or more other Members, the Member shall release the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

5. Privacy

Community shall not sell or rent Members personal information to third parties without Members explicit consent. Community shall store and process Members information on computers located in the United States that are protected by physical as well as technological security devices. However, the Community shall be permitted to access and modify Members information.

6. Indemnity

Member shall indemnify and hold the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Members breach of this Agreement, or Members violation of any law or the rights of a third party.

7. No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

8. Terminating Membership

Member shall choose to retire or delete the published content from the Communitys site and it shall be no longer available or visible to other visitors. Terms regarding the status of the uploaded content shall remain applicable when the Member chooses to terminate the membership. Contents posted to the site, other than the published content, shall not be deleted or retired as a result of the Members termination.

9. Governing Law

This Agreement shall be construed under and governed in accordance with the laws of the Delaware.

10. Arbitration

Any dispute arising under this contract shall be resolved under the commercial arbitration rules of the American Arbitration Association.

11. Limitation of Liability

Member shall not hold Community responsible for other user Members content, actions or inactions.

Subscription Fees

12. Credit card holder's account is automatically charged on the same date as the original transaction date on each corresponding month or on final date of month if no corresponding date (January 31, 2020 subscription renews on February 28, 2020).

13. Discounts, rebates or other special offers only valid for initial term; subscriptions renew at the then-current full subscription rates.

14. The Black Think Tank Community may terminate the subscription and these terms if it is unable to renew the subscription based on inaccurate or outdated credit card information. Right of access granted under these Terms is effective only upon payment of the subscription fees.

Cancelling Account

15. You can cancel your subscription from your account profile page.  The only valid method for canceling your plan by sending a email to admin@blackthinktank.com. Requests any other way to cancel by e-mail or phone are not considered, and do not accomplish, cancellation.  Once you cancel your membership subscription, you will not lose access immediately.  Your membership will continue through the end of your current charge cycle. For example: If your credit card is charged on the 10th of the month and you cancel on April 25th, you will not lose access until the May 10th.

Refunds

16. Subscription fees are non-refundable; except that you may cancel renewed subscription by contacting Black Think Tank Community within two (2) calendar days after renewal date and receive a full refund of the new subscription fees.

2.) Privacy Policy

Protecting your private information is our priority. This Statement of Privacy applies to Black Think Tank Community membership, and Black Think Tank Community and governs data collection and usage. For the purposes of this Privacy Policy, unless otherwise noted, all references to Black Think Tank Community include www.blackthinktankcommunity.com and BTTC. The BTTC application is a Membership application. By using the BTTC application, you consent to the data practices described in this statement. 

Collection of your Personal Information 

In order to better provide you with products and services offered, BTTC may collect personally identifiable information, such as your: 

  • First and Last Name

  • E-mail Address

  • Phone Number

  • Date of birth

If you purchase BTTC's products and services, we collect billing and credit card information. This information is used to complete the purchase transaction. 

BTTC may also collect anonymous demographic information, which is not unique to you, such as your: 

  • Age

  • Gender

  • Race

We do not collect any personal information about you unless you voluntarily provide it to us. However, you may be required to provide certain personal information to us when you elect to use certain products or services. These may include: (a) registering for an account; (b) entering a sweepstakes or contest sponsored by us or one of our partners; (c) signing up for special offers from selected third parties; (d) sending us an email message; (e) submitting your credit card or other payment information when ordering and purchasing products and services. To wit, we will use your information for, but not limited to, communicating with you in relation to services and/or products you have requested from us. We also may gather additional personal or non-personal information in the future. 

Use of your Personal Information  

BTTC collects and uses your personal information to operate and deliver the services you have requested. 

BTTC may also use your personally identifiable information to inform you of other products or services available from BTTC and its affiliates. 

Sharing Information with Third Parties 

BTTC does not sell, rent or lease its customer lists to third parties. 

BTTC may share data with trusted partners to help perform statistical analysis, send you email or postal mail, provide customer support, or arrange for deliveries. All such third parties are prohibited from using your personal information except to provide these services to BTTC, and they are required to maintain the confidentiality of your information. 

  

BTTC may disclose your personal information, without notice, if required to do so by law or in the good faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on BTTC or the site; (b) protect and defend the rights or property of BTTC; and/or (c) act under exigent circumstances to protect the personal safety of users of BTTC, or the public. 

  

Security of your Personal Information 

BTTC secures your personal information from unauthorized access, use, or disclosure. BTTC uses the following methods for this purpose:

We strive to take appropriate security measures to protect against unauthorized access to or alteration of your personal information. Unfortunately, no data transmission over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we strive to protect your personal information, you acknowledge that: (a) there are security and privacy limitations inherent to the Internet which are beyond our control; and (b) security, integrity, and privacy of any and all information and data exchanged between you and us through this Site cannot be guaranteed. 

  

Right to Deletion 

Subject to certain exceptions set out below, on receipt of a verifiable request from you, we will: 

•         Delete your personal information from our records; and

•         Direct any service providers to delete your personal information from their records.

  

Please note that we may not be able to comply with requests to delete your personal information if it is necessary to: 

•         Complete the transaction for which the personal information was collected, fulfill the terms of a written warranty or product recall conducted in accordance with federal law, provide a good or service requested by you, or reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform a contract between you and us;

•         Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity; or prosecute those responsible for that activity;

•         Debug to identify and repair errors that impair existing intended functionality;

•         Exercise free speech, ensure the right of another consumer to exercise his or her right

of free speech, or exercise another right provided for by law;

•         Comply with the California Electronic Communications Privacy Act;

•         Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when our deletion of the information is likely to render impossible or seriously impair the achievement of such research, provided we have obtained your informed consent;

•         Enable solely internal uses that are reasonably aligned with your expectations based on your relationship with us;

•         Comply with an existing legal obligation; or

•         Otherwise use your personal information, internally, in a lawful manner that is compatible with the context in which you provided the information.

  

Children Under Thirteen 

BTTC does not knowingly collect personally identifiable information from children under the age of thirteen. If you are under the age of thirteen, you must ask your parent or guardian for permission to use this application.

Disconnecting your BTTC Account from Third Party Websites 

You will be able to connect your BTTC account to third party accounts. BY CONNECTING YOUR BTTC ACCOUNT TO YOUR THIRD PARTY ACCOUNT, YOU ACKNOWLEDGE AND AGREE THAT YOU ARE CONSENTING TO THE

CONTINUOUS RELEASE OF INFORMATION ABOUT YOU TO OTHERS (IN

ACCORDANCE WITH YOUR PRIVACY SETTINGS ON THOSE THIRD PARTY SITES). IF YOU DO NOT WANT INFORMATION ABOUT YOU, INCLUDING PERSONALLY

IDENTIFYING INFORMATION, TO BE SHARED IN THIS MANNER, DO NOT USE

From time to time, BTTC may contact you via email for the purpose of providing announcements, promotional offers, alerts, confirmations, surveys, and/or other general communication. In order to improve our Services, we may receive a notification when you open an email from BTTC or click on a link therein.

Indemnification

Enforceability and Governing Law

These Terms of Use constitute a contract between you and Black Think Tank Community governed by the laws of the state of Delware (United States of America), with the exception of its conflicts of laws provisions. In the event any of the terms or provisions of these Terms of Use shall be held to be unenforceable, the remaining terms and provisions shall be unimpaired and the unenforceable term or provision shall be replaced by such enforceable term or provision that comes closest to the intention underlying the unenforceable term or provision. These Terms of Use shall be subject to any other agreements you have entered into with Black Think Tank Community.

The Site is hosted in the United States. If you are accessing this Site from outside the United States, you may be subjecting yourself to United States law, which may differ from your local laws, including laws that govern personal data collection, use, and disclosure. In your use of this Site or Service, you may transfer certain personal information to the United States.   • your use of the Services is governed by our Online Access Agreement, which incorporates these Terms of Use by reference, and

  • if there is a conflict between these Terms of Use and the Online Access Agreement, the Online Access Agreement controls.

The Black Think Tank Community is committed to the highest possible ethical standards and we encourage everyone associated with the Black Think Tank Community to commit to acting in the best interest of the organization and its mission

Our mission demands that we, Board and Committee Members, branch Boards of Managers, staff and program volunteers, as stewards of our mission, uphold the public trust and act in an ethical manner in all that we do in the name of our Organization. These ethical values include integrity, openness, honesty, accountability, fairness, respect and responsibility. These values are the basis of our Code of Conduct and commitment to act in a manner befitting the Black Think Tank Community and mission.

As a public community organization, we rely on paid and the public for funding and volunteer support, which is critical to the success of our mission. The public trusts us to carry out our stated mission and to act in the best interest of the Black Community. If we abuse the public trust, our ability to fulfill our mission is severely weakened. Therefore, it is critical that we operate in a manner that is above reproach in all aspects, including governance, fundraising, mission operations, legal matters and human resources.

This Code of Conduct applies to all staff members, the Board of Directors and Committee Members, branch Boards of Managers, and program volunteers.

ALL STAFF, BOARD AND COMMITTEE MEMBERS, BRANCH BOARDS OF MANAGERS AND PROGRAM VOLUNTEERS WILL:

Be open and honest with colleagues, stakeholders, volunteers, donors, and all others involved in the Black Think Tank Community;

Abide by the by-laws and policies of the Black Think Tank Community;

Take responsibility for their actions, and care in their dealings as representatives of our Black Think Tank Community;

Exercise best governance and accounting practices and procedures;

Use the resources of the Black Think Tank Community in a responsible and wise manner;

Act in the best interest of the Black Think Tank Community;

Disclose any actual or perceived conflict of interest.

Act in a responsible, ethical manner that promotes openness, fairness and integrity;

Treat people with dignity and respect;

Work together to achieve our mission to the best of our ability.

The Black Think Tank Community screens all members through a registered sex offender (RSO) national database. Any person found to be a RSO is not eligible to participate in Nationwide Membership at Black Think Tank Community other than Black Think Tank Community. Additionally, if a person is flagged as a possible RSO based on this screening, their Black Think Tank Community membership will be immediately suspended pending a meeting between the member and the branch executive, and further investigation as needed, to determine whether the person can be a Black Think Tank Community member.
